THE CLUB'S GOVERNANCE
The Woldingham Village Club's governance arrangements are somewhat unusual and, to the outside observer, quite confusing. Essentially, the Woldingham Village Club is constituted by two legally separate but closely related entities, namely, the Woldingham Village Trust and Woldingham Social Club Limited. These arrangements give rise to three governance functions, required by law, and which are described below.
The Woldingham Village Trust and its trustees

The Woldingham Village Trust, (prior to February 1975, the Woldingham Institute) is a charity registered with the Charity Commission since 1961 (charity number 200366). It's main charitable object is ‘to provide or assist in providing for the inhabitants of Woldingham facilities for recreation or other leisure time occupation in the interests of social welfare with object of improving the conditions of life for the said inhabitants’. It is governed by a board of trustees with responsibility for delivering the charity's objects and ensuring all income supports those objects. A list of the board of trustees is provided below.

Woldingham Social Club Limited and its directors

The Woldingham Social Club Limited is the trading company of the Woldingham Village Club and was incorporated on 23 January 1997 (company number IP28500R). The company exists solely to further the Trust's charitable object and has its own separate board of directors who are also listed below.

The Woldingham Village Club and its executive committee
The Woldingham Village Club has its own constitution and rules which are as those promulgated for the Woldingham Social Club Limited on 23 July 1997. In line with the constitution and rules, the Club has an annually elected committee whose duty is to ‘control the management of the Club’. It has ‘the power to do all such things as it may deem necessary for the carrying out the objects of the Club’ and ‘the exclusive power to engage and dismiss employees’. At the last annual general meeting of the Woldingham Village Club, the Club members listed in the table below were duly elected to serve on the executive committee.
